Terms of Service
Last updated 13 October 2026
1. About these terms
These terms set out the agreement between you and Commercial Intelligence Partners ("CIP", "we", "us", "our") for the use of the CIP software and the commercial-review service (together, the "Service"). You can contact us at any time at info@commercialintelligencepartners.co.uk.
By creating an account, subscribing, or otherwise using the Service, you agree to these terms on behalf of yourself and the business you represent ("you", "your"). If you do not agree, please do not use the Service.
2. Business customers only
The Service is designed for businesses. By using it you confirm that you are acting for purposes relating to your trade, business, craft or profession, and that you have authority to accept these terms for your business. Our digital template shop is covered separately by our Subscription, Cancellation and Refund Terms (/legal/subscription), which also apply to consumers.
3. The Service and plans
We offer subscription plans (currently Bronze, Silver and Gold) that combine dashboard software with a human commercial review. The features and price of each plan are shown on our website and in your account at the time you subscribe. Features marked "coming soon" are not yet part of the Service, and we do not promise a date for them. Depending on your plan, the Service may let you run more than one venue (site) — see section 10.
Support: Bronze: we reply within 2 working days. Silver: within 1 working day (priority). Gold: the same working day if you contact us before 12:00, otherwise by 12:00 the next working day (priority). Working days are Monday to Friday, excluding bank holidays in England and Wales. These are the times by which we aim to send a first reply to a support message; they are not a time to fix a problem.
4. Fees, billing and renewal
Subscriptions are billed monthly in advance, in the currency shown on your order form or at checkout, through our payment provider Stripe. Your subscription renews automatically each month until you cancel it. We are not currently registered for VAT, so no VAT is added to our prices. If that changes, we will tell you before VAT is added to any charge.
Australian GST: CIP is not registered for Australian GST. Our services to a business in Australia that is registered for GST and acquires them for its enterprise are not connected with Australia, so no Australian GST is charged on our invoices and they are not tax invoices. If you are not entitled to full input tax credits you may have to account for GST under the reverse-charge rules in Division 84 of the GST Act. Tell us your ABN and whether you are registered for GST. We may change our prices by giving you at least 30 days' notice by email. The new price applies from your next billing date after the notice period; if you do not want to continue, you can cancel before then. If a payment fails, we will let you know and Stripe will retry it. If it remains unpaid 14 days after the due date, we may suspend your access until it is paid. Full billing, plan-change, failed-payment and manual-invoicing detail is in our Subscription, Cancellation and Refund Terms (/legal/subscription), which forms part of these terms.
5. Cancellation and refunds
You can cancel at any time from the billing page in your account settings, or by emailing us. Cancellation takes effect at the end of the billing period you have already paid for, and you keep full access until then. Fees already paid are not refundable for partial months or unused features, except where the law requires otherwise or where we have failed to provide the Service as described. See our Subscription, Cancellation and Refund Terms (/legal/subscription) for the full rules, including when we do refund you.
6. Your account
You sign in with a one-time code sent to your email, a passkey, or (if you choose) your Google account (or Microsoft, where offered). You can also turn on two-factor authentication with an authenticator app. You are responsible for keeping sign-in details secure, for making sure only people in your business are given access, and for all activity under your account. Account owners can invite and remove team members, including staff users (section 11). Tell us straight away if you believe your account has been accessed without permission.
7. Acceptable use
You must not: use the Service for anything unlawful, fraudulent or harmful; try to bypass security controls, probe for vulnerabilities, or access another customer's data; resell, sublicense or share access to the Service with anyone outside your business; upload data you do not have the right to share with us, or anything containing malware; copy, reverse engineer or build a competing product from the Service, except where the law expressly allows it. Our full Acceptable Use Policy (/legal/acceptable-use) applies to you and to every user of your account, and sets out more detail — including on emailing your customers (section 12) and AI features (section 15).
8. Your data
The business data you upload or connect to the Service ("Customer Data") remains yours. You give us permission to store and process it only as needed to provide, secure and support the Service, and to produce the reports and reviews you have subscribed to. We do not sell Customer Data or use it for advertising.
Where Customer Data includes personal data (for example, names of your staff or customers), you are the controller and we act as your processor under UK data protection law, under our Data Processing Agreement ("DPA", /legal/dpa). You accept the DPA when an owner accepts these terms — at onboarding, or when prompted to accept an updated version — and it forms part of, and is incorporated into, these terms by this reference. If these terms and the DPA conflict on a data protection matter, the DPA wins. The DPA sets out in full how we process your data on your instructions, keep it confidential and secure, use only listed sub-processors (section 9), help you with data subject rights and security obligations, and delete or return your data when the Service ends (section 18).
You must have the right to upload or connect all data and files you add to CIP, and to instruct us to process them, and you are responsible for having a lawful basis to share any personal data with us. You must not add special category data (such as health information) or criminal offence data unless you have a lawful condition to do so — CIP is not designed for it.
9. Sub-processors
We use the service providers listed on our sub-processors page (/legal/subprocessors) to run CIP. You authorise us to use them. We will give at least 30 days' notice before adding or replacing a provider that processes your data, and you may object, as set out in Annex 3 of the DPA (/legal/dpa).
10. Multiple venues (sites)
You can set up more than one venue (site) within your account, where your plan allows it. All venues in an account belong to the same client business, and you are responsible for all of them, including deciding which users can see which venues. Any plan limits on venues or users are shown on our pricing page and in your account. If a venue is sold or leaves your business, you are responsible for exporting its data and removing it (or its users) from your account — we cannot move data between separate client accounts without written instructions from both clients.
11. Staff users and staff records
You can invite your staff (employees and workers) as staff users, and keep staff records in CIP (for example name, email, role, reporting line and holiday requests). You are the controller of staff records, including those of staff who never log in — you are responsible for having a lawful basis, for telling your staff how their data is used (for example in your staff privacy notice), and for keeping records accurate. When a staff user logs in, we are the controller of their own login account (name, email, sign-in and security records), as our Privacy Notice explains; everything they see or create within your account is your data. You are responsible for your staff users' use of CIP and for making sure they follow our Acceptable Use Policy, and for removing staff users promptly when they leave or no longer need access. CIP helps you record information such as holiday requests; it is not an HR, payroll or time-recording system of record, and you remain responsible for your obligations as an employer.
12. Emails we send for you
CIP lets you email invoices and payment reminders to your own customers. We send these through our email provider, on your instructions and as your processor. Replies go to you. You are the controller of these emails and are responsible for their content and accuracy, for having a lawful basis under data protection law to send them, and for complying with our Acceptable Use Policy, including not adding marketing content and not sending spam. Invoices and payment reminders about a real transaction are service messages, not direct marketing, under the Privacy and Electronic Communications Regulations; adding marketing content could change that, so you must not do so unless the law allows it. We may limit or pause email sending from your account to protect our email reputation or other clients, for example if bounce or complaint rates are high — we will tell you if we do. We are not responsible for whether an email is delivered, read, or acted on by the recipient.
13. Our intellectual property
We (and our licensors) own all rights in the Service, including the software, design, report formats and know-how. We give you a non-exclusive, non-transferable right to use the Service for your internal business purposes while your subscription is active. Reports we prepare for you are yours to use within your business.
14. Not professional advice
Our dashboards, insights and commercial reviews are information to support your own decisions. They are not financial, investment, tax, accounting or legal advice, and we are not regulated by the Financial Conduct Authority. Their accuracy depends on the data you give us. Decisions you make for your business remain your responsibility, and you should take professional advice where appropriate.
Estimates, not pay. Rota costs, staff costs and award-based warnings in CIP are estimates for planning. CIP is not a payroll system, does not determine what any award, enterprise agreement or employment contract requires of you, and does not calculate pay, super, pension or leave. Your payroll provider and the applicable award or agreement are the source of truth; you are responsible for paying your staff correctly.
15. AI features
Some plans include AI features, which write narrative commentary about your business's performance. They only run if enabled for your plan and account, and owners can switch them off. When they are on, we send the figures and context needed to write the commentary to Anthropic PBC, our AI sub-processor; the figures are calculated by CIP's own software, and the AI model writes the words but does not calculate the numbers. Anthropic does not use your data to train its models, under its commercial terms with us. AI commentary is information only — it is not financial, investment, tax, accounting or legal advice, and it may be incomplete or wrong. You are responsible for checking it and for any decisions you make, and you should take professional advice before significant decisions. We do not guarantee any particular result from AI features, and to the extent the law allows, we are not liable for loss arising from your reliance on AI commentary without checking it.
16. Availability and changes to the Service
We aim to keep the Service available and working well, but we do not guarantee that it will be uninterrupted or error-free. We may need to carry out maintenance, and we may improve or change features over time. If we make a change that materially reduces the Service you have paid for, we will tell you and you may cancel and receive a pro-rata refund of any fees paid in advance for the period after the change.
17. Confidentiality
Each of us will keep the other's confidential information confidential and use it only for the purposes of this agreement. This does not apply to information that is public, was already known to the recipient, or must be disclosed by law.
18. Suspension and termination
We may suspend or end your access if you seriously or repeatedly breach these terms, use the Service unlawfully, or fail to pay as set out in section 4. Where practical, we will warn you first and give you a reasonable chance to put things right. When your subscription ends, you can export your Customer Data for 12 months, after which we permanently delete it, as set out in our Data Retention and Deletion Policy (/legal/retention) — you can ask us to delete it sooner. Whether you ask or we reach the end of that period, we permanently delete your organisation's data within 30 days of your request (or of the end of the period). We keep our own billing records for 6 years to meet our tax obligations, regardless of when your subscription ends.
19. Our liability
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot legally be limited or excluded. Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy under the Australian Consumer Law that cannot lawfully be excluded. Where the Australian Consumer Law applies and section 64A permits, our liability for a failure to comply with a consumer guarantee in relation to services is limited to supplying the services again or paying the cost of having them supplied again.
Subject to that: we are not liable for loss of profits, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss; and our total liability to you arising from or in connection with the Service in any 12-month period is limited to the fees you paid us in that period.
20. Changes to these terms
We may update these terms from time to time. If a change is material, we will email account owners at least 30 days before it takes effect. If you continue to use the Service after that date, the updated terms apply; if you do not agree, you may cancel before then.
21. General
These terms, together with our Privacy Notice, our Data Processing Agreement, our Acceptable Use Policy, our Subscription, Cancellation and Refund Terms, and any plan details shown when you subscribe, are the whole agreement between us about the Service. You may not transfer your rights under these terms without our written consent. We may transfer ours to a business that takes over the Service, and we will tell you if we do. Nobody other than you and us has any right to enforce these terms. If any part of these terms is found to be unenforceable, the rest remains in effect. If we delay in enforcing a right, we can still enforce it later. Neither of us is liable for delays or failures caused by events outside our reasonable control. We will send notices to the email address on your account, and you can send notices to info@commercialintelligencepartners.co.uk.
22. Governing law
These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
