Subscription, Cancellation and Refund Terms
Last updated 13 October 2026
Version 1.0 — effective 26 September 2026.
These terms are made by {{COMPANY_LEGAL_NAME}} (company number {{COMPANY_NUMBER}}), registered office {{REGISTERED_ADDRESS}}, trading as Commercial Intelligence Partners ("CIP", "we", "us"). They form part of our Terms of Service.
Part A covers business subscriptions to the CIP service. Part B covers one-off purchases from our templates shop, including by consumers.
Contact: info@commercialintelligencepartners.co.uk.
Part A — Business subscriptions
A1.1 Who this Part applies to. CIP subscriptions are for businesses only. By subscribing you confirm you are acting for the purposes of your trade, business, craft or profession (including as a sole trader), and not as a consumer.
A1.2 Because of that, the consumer cancellation rights in the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 and the consumer subscription rules in the Digital Markets, Competition and Consumers Act 2024 do not apply to CIP subscriptions (see Part C below).
A2.1 Plans and billing. We offer Bronze, Silver and Gold plans. Plan features and prices are shown on our pricing page and in your account.
A2.2 Plans are billed monthly in advance by card or other method through Stripe, on the same date each month (your "billing date"). Prices are shown excluding VAT; VAT is added where it applies.
A2.3 Your subscription renews automatically each month until cancelled.
A2.4 Price changes. We will give at least 30 days' notice by email before any price increase takes effect. If you do not want to pay the new price, you can cancel before it takes effect and you will not be charged the higher price.
A3.1 Cancelling. You can cancel at any time in your account settings, or by emailing info@commercialintelligencepartners.co.uk from an owner's email address.
A3.2 Cancellation takes effect at the end of the billing period you have already paid for. You keep full access until then. We will not charge you again.
A3.3 After that date, your account becomes read-only for export, and we keep your data for 12 months before permanently deleting it, as described in our Data Retention and Deletion Policy (/legal/retention). You can ask us to delete it sooner.
A3.4 You can reactivate within those 12 months by subscribing again, and your data will still be there.
A4.1 Refunds — no partial refunds. Fees already paid are not refundable, and we do not refund part-months when you cancel or downgrade.
A4.2 Exceptions. We will refund fees: (a) where the law requires it; (b) where we are at fault — for example if we charge you in error, charge you after you cancelled, or the service is materially unavailable or does not work as described for a significant part of a billing period for reasons within our control (in that case we refund the fees for the affected period, or a fair proportion of them); (c) where we end your subscription for our own convenience, or you end it under a right we give you because we changed a sub-processor, the DPA or these terms in a way that materially disadvantages you (in that case we refund prepaid fees for the unused period).
A4.3 Refunds are made to the original payment method, normally within 14 days of our agreement to refund.
A4.4 Nothing in this Part limits any right you have that cannot be excluded or limited by law.
A5.1 Changing plan — upgrades take effect straight away. We charge the difference in price for the rest of the current billing period, calculated pro rata by Stripe, and the new price applies from your next billing date.
A5.2 Downgrades take effect from your next billing date. You keep your current plan's features until then. No refund or credit is given for the rest of the current period.
A5.3 If you downgrade to a plan without a feature you use (for example AI commentary), that feature switches off on the date the downgrade takes effect. Data you created with it is kept in line with our retention policy.
A6.1 Failed payments and suspension. If a payment fails, we will email the account owner and Stripe will retry the payment over the following 14 days.
A6.2 If payment is still outstanding after those 14 days, we may suspend your account. While suspended, you can sign in to update your payment details and export your data, but other features are unavailable.
A6.3 If payment is still outstanding 30 days after suspension, we may end your subscription by email notice. The 12-month retention period then starts.
A6.4 As soon as you pay what is owed, we will lift the suspension.
A6.5 We may also charge interest and compensation on late payments under the Late Payment of Commercial Debts (Interest) Act 1998.
A7.1 Manually billed clients. Some clients (usually those who also buy CIP's services) are billed by invoice rather than through Stripe. Their plan, price, billing period and any minimum term are set out in their order form or proposal (the "Order").
A7.2 Unless the Order says otherwise: (a) invoices are payable within 14 days of the invoice date; (b) you may cancel by giving written notice to info@commercialintelligencepartners.co.uk, effective at the end of the billing period in which we receive it (or at the end of any minimum term, if later); (c) sections A4 (refunds), A5 (plan changes, adjusted to your invoicing cycle) and A6 (failed payments, counting from the invoice due date) apply.
A7.3 If the Order conflicts with this Part, the Order wins.
A8.1 Ending by us. We may end a subscription by giving at least 30 days' notice, and will refund prepaid fees for the unused period (A4.2(c)).
A8.2 We may suspend or end a subscription immediately if you seriously breach our Terms of Service or Acceptable Use Policy (for example by using CIP to send spam), or where the law requires. We will tell you why unless the law prevents it.
Part B — Templates shop (one-off purchases, including consumers)
B1.1 What you are buying. Our templates shop sells downloadable Excel templates ("Templates") for a one-off price. Each Template's description, file format, compatibility and price (including VAT) are shown on its product page before you buy. No extra charges are added at checkout.
B1.2 You receive a licence to use the Template for your own personal or internal business purposes. You may not resell, share or publish the Template itself.
B1.3 Payment is taken by Stripe. The contract is made when we email your order confirmation.
B2.1 Your right to cancel — and when you lose it (consumers). If you are a consumer, you normally have 14 days from the date of the contract to cancel an online purchase.
B2.2 For digital content like Templates, that right ends once the download starts, if before the download you: (a) gave your express consent to the download starting within the 14-day cancellation period; and (b) acknowledged that you will lose your right to cancel once the download starts.
B2.3 We ask for both at checkout with a checkbox (unticked by default; you cannot complete the purchase without it): "I want to download my template(s) straight away. I understand that once the download starts I lose my 14-day right to cancel."
B2.4 Your order confirmation email records your consent and acknowledgement.
B2.5 If you have not started a download, you can still cancel within the 14 days by emailing info@commercialintelligencepartners.co.uk with your order number. We will refund you in full within 14 days of your cancellation, to your original payment method.
B3.1 If a Template is faulty (consumers). By law, digital content must be of satisfactory quality, fit for purpose and as described. These terms do not affect those rights.
B3.2 If a Template is faulty, tell us at info@commercialintelligencepartners.co.uk. You are entitled to a repair or replacement (for example a corrected file), which we will provide within a reasonable time and without significant inconvenience to you.
B3.3 If a repair or replacement is impossible, or we cannot provide it within a reasonable time or without significant inconvenience, you are entitled to a price reduction, which may be up to the full price. We will pay any refund within 14 days of agreeing you are entitled to it.
B3.4 If a faulty Template damages your device or other digital content, and this happened because we did not use reasonable care and skill, we will repair the damage or pay you compensation.
B4.1 Business buyers. If you buy from the shop for business purposes, Part B2 does not apply. We will still repair, replace or refund a Template that is faulty or not as described, if you tell us within 30 days of purchase.
B4.2 For business buyers, our total liability for a shop purchase is limited to the price paid for it, except where the law does not allow liability to be limited.
B5.1 Complaints. Please contact info@commercialintelligencepartners.co.uk first. We aim to reply within 5 working days. If we cannot resolve a consumer complaint, we will tell you in writing which alternative dispute resolution body could deal with it and whether we agree to use it. You can also seek advice from Citizens Advice.
Part C — The DMCC Act 2024 consumer subscription regime
C1. Part 4, Chapter 2 of the Digital Markets, Competition and Consumers Act 2024 creates new rules for consumer subscription contracts (for example reminder notices, easy exit and a cooling-off period). As at September 2026, those rules are not yet in force: the Government announced on 2 April 2026 that they are expected to start in spring 2027.
C2. They will not apply to CIP business subscriptions, because those are made only with businesses (A1).
C3. They will not apply to templates shop purchases, which are one-off contracts, not subscriptions.
C4. If we ever offer a subscription to consumers, we will comply with the regime once it is in force.
C5. The DMCC Act's rules on unfair commercial practices (in force since 6 April 2025) already apply to how we sell to consumers — for example, we show the full price, including all mandatory charges, up front.
Legal basis
B2B: Unfair Contract Terms Act 1977 ss.2, 3 and 11 (reasonableness of B2B exclusions and limitations); Supply of Goods and Services Act 1982 s.13; Late Payment of Commercial Debts (Interest) Act 1998. Consumer Rights Act 2015 s.2(3) (definition of consumer — a sole trader acting for business purposes is not a consumer). Consumer digital content: Consumer Rights Act 2015 ss.33–47 (in particular ss.34–36 quality, fitness and description; s.42 remedies; s.43 repair or replacement; s.44 price reduction; s.45 refunds within 14 days; s.46 damage to device or other digital content; s.47 consumer remedies cannot be excluded or limited — so the cap in B4.2 applies to business buyers only). Consumer cancellation: Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 regs. 13 and 16 (information and confirmation on a durable medium, including the consent and acknowledgement), regs. 29–30 (14-day cancellation period for digital content runs from the contract date), reg. 34 (refunds within 14 days), reg. 37 (loss of the right to cancel digital content once supply begins with express consent, acknowledgement and confirmation). DMCC Act 2024: Part 4 Ch. 1 (unfair commercial practices, including drip pricing; in force 6 April 2025); Part 4 Ch. 2 (subscription contracts; commencement expected spring 2027 per the Government's consultation response of 2 April 2026). Consumer ADR: Alternative Dispute Resolution for Consumer Disputes (Competent Authorities and Information) Regulations 2015 reg. 19 (information about ADR when a complaint cannot be resolved).
